Acceptance of Terms

These Terms of Service govern access to and use of aipaynex services provided by Spark Advisory Limited, with its registered address at RM 701, UNIT 108, 7/F, TWR B NEW MANDARIN PLAZA, 14 SCIENCE MUSEUM RD, TSIM SHA TSUI, HONG KONG. By creating an account, accessing the dashboard, using our APIs, embedding checkout, or otherwise using the services, you agree to these Terms on behalf of yourself and any organization you represent.

If you do not agree to these Terms, you may not use the services. If you use the services for a company or other legal entity, you confirm that you have authority to bind that entity.

Service Description

aipaynex provides payment orchestration, hosted checkout, embedded checkout, payment links, invoice payment flows, API access, webhook delivery, reporting, reconciliation views, receipt records, and related software services for merchants and partners.

The services are designed to help businesses manage payment intent, quote, authorization, execution, settlement visibility, refunds, disputes, receipts, controls, and audit trails across supported payment surfaces.

Eligibility

You must be legally able to enter into a binding agreement, use the services for lawful business purposes, and satisfy onboarding, verification, and compliance requirements we or our payment partners request.

You may not use the services if you are barred under applicable law, sanctions programs, provider rules, or aipaynex policies.

Account Registration

You agree to provide accurate account, business, ownership, tax, payment, contact, and operational information. You must keep that information complete and current.

We may require additional information before enabling live payments, higher limits, new payment methods, settlement routes, or agent-triggered payment capabilities.

Account Security

You are responsible for safeguarding passwords, API keys, webhook secrets, device access, team permissions, and any credentials used with aipaynex.

You must promptly notify us at legal@aipaynex.com if you suspect unauthorized access, credential compromise, suspicious payment activity, or misuse of your account.

Merchant Responsibilities

You are responsible for your products, services, pricing, descriptions, customer communications, refund policies, tax treatment, fulfillment, support, compliance disclosures, and the accuracy of data you submit to aipaynex.

You must maintain all licenses, registrations, permissions, policies, and customer notices required for your business and for each country, payment method, customer type, or channel you serve.

Payment Services

aipaynex is a software and payment orchestration service. We help create and manage payment objects, checkout sessions, API-triggered executions, webhook events, references, and reporting records.

Unless separately approved in writing and legally accurate, aipaynex does not present itself as a bank, licensed money transmitter, card network, custodian, deposit holder, or issuer of regulated payment accounts.

Third-Party Payment Providers

Underlying payment execution, settlement, refunds, chargebacks, KYC, KYB, risk screening, fraud controls, payout availability, currency support, payment-method availability, and transaction limits may depend on third-party payment providers, processors, acquiring partners, banks, networks, wallets, stablecoin or crypto infrastructure, and compliance vendors.

You agree to comply with applicable third-party provider terms, network rules, payment-method rules, and compliance requirements. We may suspend or limit services if a provider, network, regulator, or compliance process requires it.

Fees

You agree to pay applicable aipaynex fees, subscription fees, transaction fees, platform fees, usage fees, and any pass-through provider or network costs disclosed in your order form, dashboard, pricing page, invoice, or other written agreement.

Fees may be deducted from balances, invoiced, collected through a payment method on file, or otherwise charged as permitted by the applicable commercial arrangement.

Taxes

You are responsible for determining, collecting, reporting, and remitting all taxes, duties, levies, and similar governmental charges related to your products, services, transactions, customers, and use of aipaynex.

aipaynex may calculate or display tax-related information for operational convenience, but you remain responsible for validating tax treatment with your own advisers.

Refunds

You are responsible for your refund policy and for honoring lawful refund obligations to your customers. aipaynex may provide tooling to initiate, track, and reconcile refunds where supported by the relevant payment route.

Refund availability, timing, fees, reversals, and funding requirements may depend on the original payment method and third-party provider rules.

Chargebacks

You are responsible for chargebacks, reversals, claims, retrievals, fraud losses, network assessments, provider fees, and other payment disputes associated with your transactions.

We may debit amounts, hold funds, request evidence, disable payment methods, or suspend services when chargeback, dispute, or fraud risk exceeds acceptable thresholds.

Disputes

You must promptly respond to information requests and provide truthful evidence for transaction disputes, customer complaints, provider reviews, regulatory inquiries, or fraud investigations.

aipaynex may assist with workflow, data, and records, but final dispute outcomes may be determined by payment providers, networks, banks, wallets, regulators, or courts.

Acceptable Use

You may use the services only for lawful business purposes and in accordance with these Terms, our documentation, applicable laws, provider requirements, and security instructions.

  • Do not use the services for fraud, deceptive practices, sanctions evasion, money laundering, terrorist financing, unauthorized financial services, harmful content, unlawful surveillance, or illegal goods or services.
  • Do not interfere with service integrity, probe systems without authorization, bypass rate limits, misuse credentials, submit false information, or use the services in a way that harms customers, partners, providers, or aipaynex.

Restricted Businesses

Certain business categories, transaction types, regions, products, or customer segments may be restricted or require enhanced review before use. Restrictions may come from aipaynex policy, provider policy, network rules, banking partners, compliance vendors, or applicable law.

We may reject, limit, or suspend unsupported high-risk businesses, unauthorized financial products, regulated activities without proper approvals, illegal content, prohibited digital goods, or any activity that creates unacceptable risk.

Compliance Obligations

You must comply with all applicable laws and rules related to payments, consumer protection, privacy, data security, export controls, sanctions, anti-money laundering, tax, advertising, subscriptions, electronic communications, and your industry.

You must provide requested information for onboarding, monitoring, risk reviews, audits, regulatory inquiries, and provider compliance. Failure to provide accurate information may result in limits or suspension.

API and Webhook Use

You must use aipaynex APIs, SDKs, embedded checkout, webhook endpoints, API keys, and secrets according to our documentation and security guidance.

You are responsible for validating webhook signatures, protecting API credentials, handling idempotency, retrying safely, logging responsibly, and ensuring your integration does not expose secrets or sensitive payment data.

AI and Agent Payment Features

Where aipaynex supports AI, agent, MCP, or automated payment features, you remain responsible for configuring budgets, scopes, approvals, whitelists, prompts, policies, and human review controls appropriate for your use case.

Prompt text alone should not be treated as payment authorization. You must ensure automated payment flows are backed by structured mandates, evidence, limits, audit trails, and revocation paths.

Suspension and Termination

We may suspend, restrict, or terminate access to all or part of the services if we believe there is legal, compliance, security, fraud, payment, provider, operational, or platform risk.

You may stop using the services at any time, but you remain responsible for outstanding fees, disputes, chargebacks, refunds, taxes, compliance obligations, and any surviving contractual commitments.

Intellectual Property

aipaynex and its licensors retain all rights in the services, software, APIs, documentation, workflows, designs, trademarks, and related technology. These Terms do not grant you ownership of aipaynex intellectual property.

You retain ownership of your business data and customer content, subject to the rights needed for aipaynex to provide, secure, operate, improve, and support the services.

Confidentiality

Each party may receive non-public information from the other party. The receiving party must protect confidential information using reasonable care and use it only for purposes related to the services or the parties' business relationship.

Confidentiality obligations do not apply to information that becomes public without breach, was already known without restriction, is independently developed, or must be disclosed by law.

Disclaimers

The services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not guarantee uninterrupted availability, payment approval, settlement timing, provider availability, error-free operation, or that every payment method or region will be supported.

aipaynex does not provide legal, tax, accounting, investment, or financial advice. You should consult your own professional advisers for those matters.

Limitation of Liability

To the maximum extent permitted by law, aipaynex will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to the services.

Any aggregate liability cap, exclusions, and mandatory exceptions must be finalized by counsel for Spark Advisory Limited before these Terms are treated as production-ready legal copy.

Indemnification

You agree to defend, indemnify, and hold harmless aipaynex and its affiliates, personnel, and service providers from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your business, your customers, your data, your transactions, your integration, your violation of these Terms, or your violation of law or third-party rights.

Changes to Terms

We may update these Terms from time to time. When changes are material, we will use reasonable efforts to provide notice through the website, dashboard, email, or other appropriate channels.

Continued use of the services after an updated effective date means you accept the updated Terms, unless applicable law requires a different process.

Governing Law

These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law rules, unless applicable law requires otherwise.

Venue, dispute resolution procedure, arbitration terms if any, and court jurisdiction remain subject to final counsel review before production release.
